Appendix: U3A Manningham Inc. Constitution and Rules

Proposed amendment to the Constitution

Background

OurConstitution and Rules, based on the Model Rules of Association, was overwhelmingly passed at the March 2021 AGM. At this ‘COVID time’ all documents were manually controlled and many copies were distributed.

When our documents and policies were finally transferred to digital storage, checked and placed on the website, it was noted that some copies of the Constitution had one paragraph deleted. In good faith the Committee of Management believe that this paragraph should be confirmed and reinstated by the members at our 2026 AGM.

This paragraph has no effect on our operations or philosophy but does reconfirm our status as a not-for-profit organisation. There is only one omitted paragraph.

The paragraph should appear in Part 1 – Preliminary, Section 2 – Purposes under Point (5), which is missing.

Motion

The following paragraph be added to the U3A Manningham Inc. Constitution and Rules as Point (5) of Section 2 – Purposes:

‘To apply the assets and income solely to the development and achievement of U3A Manningham Incorporated’s purpose and ensuring that no portion is distributed directly or indirectly to members except for reimbursable expenses incurred for and on behalf of U3A Manningham Inc.’
